Terms & Conditions of Sale
The commercial terms governing every quotation, proforma invoice and sales contract with Al Attar Fruits.
Last updated: October 2026
1. Parties & scope
These Terms govern all quotations, proforma invoices and sales contracts concluded between Al Attar Fruits ("Seller", [COMPANY REGISTRATION NO.], [REGISTERED ADDRESS]) and the Buyer for the supply of fresh fruit and vegetables. Any conflicting buyer terms apply only if expressly accepted in writing.
2. Quotations & validity
- RFQ quotations are valid for 7 calendar days unless stated otherwise.
- Prices are indicative until confirmed by a signed proforma invoice or sales contract.
- Availability is subject to harvest conditions; confirmed volumes are allocated first.
3. Delivery & Incoterms 2020
Unless agreed otherwise, sales are concluded FOB Alexandria or Damietta, Egypt. CFR and CIF terms are available on request; EXW packhouse for direct collections. Risk and cost transfer per Incoterms 2020.
4. Prices & payment
- Prices are quoted in USD or EUR per the agreed Incoterm.
- Standard terms: 30% advance by telegraphic transfer (T/T) with order confirmation; balance of 70% against copy of bill of lading.
- Alternatively: irrevocable confirmed letter of credit, at sight, from a first-class bank.
- Late payments accrue interest at [LATE PAYMENT INTEREST RATE] per month.
5. Specifications & tolerances
Quality, sizing, count and packaging follow the specification sheet attached to each sales contract, aligned with applicable EU marketing standards. Natural produce tolerances apply: size/count ±[SIZE TOLERANCE], Brix minimums per variety as agreed.
6. Inspection & claims protocol
- Condition and quality claims must be lodged within 7 calendar days of arrival at destination — the industry standard for perishables.
- Claims must include an independent surveyor’s report, temperature records and dated photographs.
- A claim does not entitle the Buyer to withhold payment of undisputed amounts.
7. Force majeure
Neither party is liable for failure to perform due to events beyond reasonable control — including crop failure, extreme weather, port closures, strikes or government action. Affected obligations are suspended; if the event exceeds [FORCE MAJEURE LIMIT] days, either party may cancel undelivered volumes.
8. Governing law & disputes
These Terms are governed by the laws of the Arab Republic of Egypt. Disputes shall be settled by arbitration in [ARBITRATION CITY] under [ARBITRATION RULES], in the English language.
